SMH! HUGH HEFNER PLANS TO RETAKE PLAYBOY!

Playboy magazine founder Hugh Hefner doesn't want to share his favorite plaything with anybody - and we're not talking about bombshell fiancee Crystal Harris.

The pipe-smoking publisher is retaking complete control of Playboy Enterprises Inc. by inking an agreement with Icon Acquisition Holdings to take his publicly traded company private.

"With the completion of this transaction, Playboy will come full circle, returning to its roots as a private company," said Hefner, who launched the magazine 33 years before Harris was born.

Hefner, 84, was already Playboy's largest shareholder with about 70% of the company's voting shares and 28% of the nonvoting stock.

To lock down the deal, Hefner agreed to sweeten his earlier offer of $5.50 per share to $6.15 per share.

Hefner made the move after a group led by rival Penthouse offered to buy the company in July for $210 million.

Once the Cadillac of skin magazines, Playboy has struggled in recent years with competition from the Web-based porn sites and has lost readers and advertisers to rivals.

The twice-married Hefner, however, is still catnip to some ladies.

He announced his engagement to Harris - a former Playmate - via Twitter over the holidays. She bared it all for Playboy in December 2009 and - at age 24 - she is six decades younger than her wrinkly romancer.
